 HOW TO ENTER: You will be automatically entered into our quarterly drawings if, beginning on January 1, 2010 at 12:01 AM ET (the “Begin Date”) and continuing through March 31st, 2010 at 11:59 PM ET (the “End Date”), you go to www.americinn.com , complete the sweepstakes entry pursuant to the on-screen instructions or update your current registration, and opt-in to receive future promotional emails from AmericInn International, LLC (“AmericInn”). 
2. PROMOTION PERIOD: The “Promotion Period” runs from the Begin Date to the End Date.  Entry accumulation begins on the Begin Date and random drawings will be conducted sometime during the week after each Quarter period during the Promotion Period, with the first Quarter period beginning on January 1, 2010 and ending on March 31, 2010; the second Quarter period beginning on April 1, 2010 and ending on June 30, 2010; the third Quarter period beginning on July 1, 2010 and ending on September 30, 2010; and the fourth Quarter period beginning October 1, 2010 and ending on December 31, 2010.  For purposes of this sweepstakes, a “Quarter” is defined as a three-month period beginning at 12:01 AM ET on the first day of the calendar month and ending at 11:59 PM ET on the last day of the calendar month as indicated above.  Non-winning entries will rollover to the next Quarter’s drawing. 
3. RANDOM DRAWINGS: One (1) winner will be randomly drawn for each Quarter period of the Promotion Period on or before seven (7) days after the last day of each Quarter, from among all valid entries received before the end of the respective Quarter by AmericInn, whose decisions are final and binding. Winners will be notified by phone and/or mail and/or email at AmericInn’s discretion. Odds of winning depend on the total number of eligible entries received for each Quarter.
4. NO MULTIPLE ENTRIES: Participants may only enter once for the Promotion Period.  Entrants may not participate with multiple e-mail addresses or use any macro, script, device or other form of automatic entry to enter multiple times or as multiple entrants. Any entrant who attempts to enter with multiple e-mail addresses, under multiple identities, or uses any other device or artifice to enter multiple times will be disqualified and all entries submitted by the entrant will be void. AmericInn is not responsible for any change to an email address, mailing address and/or telephone number of an entrant.
5. ENTRANT’S IDENTITY: In the event of a dispute regarding the identity of an entrant, any online entries will be deemed to have been submitted by the Authorized Holder of the email address submitted at the time of entry, provided that person meets all eligibility requirements set forth in these official rules. “Authorized Holder” means the person assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
6. ELIGIBILITY: Open to legal residents of all 50 United States and District of Columbia, except for residents of the State of Rhode Island.  Entrants must have reached the age of majority in their state of residence at the time of entry, have internet access, and be registered AmericInn.com website members who have opted in to receive future emails at the time of entry. Entries become the property of AmericInn International, LLC and will not be returned.  Employees of AmericInn International, LLC its parent, subsidiary, or affiliate companies, its advertising, promotion and other agencies, and their immediate family members and/or those living in the same household of each are not eligible to participate. Void where prohibited by law and in the State of Rhode Island.
7. PRIZES AND APPROXIMATE RETAIL VALUES (ARV): Eight (4) Prizes (one per Quarter) – a $250 AmericInn Gift Certificate valid for use at any AmericInn lodging property in the AmericInn® lodging system.  Total ARV of all prizes - $1,000.  Gift certificate is subject to the terms and conditions associated with its use. 
8. GENERAL: Non-compliance with Official Rules will result in forfeiture of prize and an alternate winner may be selected. If prize notification or delivery is returned as undeliverable, prize may be forfeited and an alternate winner may be selected. No correspondence will be acknowledged. No substitutions or transfer of prize permitted. Subject to all federal, state and local laws/regulations. Neither AmericInn International, LLC, its parent, subsidiary or affiliated companies, advertising, promotion, or other agencies nor their employees will have any liability whatsoever for any injuries, losses or damages of any kind caused by any prize or resulting from acceptance, possession or use of any prize.  By accepting a prize, the winner agrees to hold harmless AmericInn International, LLC, its respective parent company, related, affiliated, and subsidiary companies and their respective directors, officers, employees and assigns against any and all claims and liability arising out of use of the prize. By participating in this promotion, all entrants also agree to be bound by the official rules and the decisions of the judges, which are final and binding. AmericInn International, LLC is not responsible for any typographical or other error in the printing of the offer or in administration of the sweepstakes. All taxes are the sole responsibility of the winner.  The transfer, substitution, or assignment of a prize is prohibited, except that AmericInn International, LLC reserves the right to substitute the prize for an item of equal or greater value in the event an advertised prize is unavailable.  The winner must, if requested, sign and return an affidavit of eligibility, a liability release, and where legally permissible a publicity release within 7 days following the date of first attempted notification.  Failure to comply with this deadline may result in forfeiture of the prize and selection of an alternate winner.  Except where prohibited by law, all issues concerning the construction, validity and enforcement of these official rules, or the rights and obligations of entrants and AmericInn International, LLC, shall be construed and governed by the laws of the State of Minnesota without regard to conflicts of law.  All suits or claims brought in connection with this promotion must be brought in a state or federal court in Minneapolis, Minnesota.
9. PROMOTION:  Acceptance of a prize shall be construed as and signify the winner’s agreement and consent that AmericInn may use the winner’s name, address, likeness and/or prize information, without limitation, for promotional purposes without further consideration or payment, where allowed by law.
10. INTERNET: AmericInn International, LLC is not responsible for lost, late, mutilated or illegible entries nor for electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions or limitations of any kind, or inaccurate transmissions of or failure to receive entry information on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. If for any reason the Internet portion of the program is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of AmericInn International, LLC which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this sweepstakes, AmericInn International, LLC reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify or suspend the sweepstakes.  AmericInn reserves the right, but not the obligation, to select winners from eligible entries received as of the termination date.  Any attempt by an individual to deliberately damage any website or undermine the legitimate operation of the promotion is a violation of criminal and civil laws and should such an attempt be made, AmericInn reserves the right to seek damages from any such individual to the fullest extent of the law.

12. WINNERS’ LIST: For names of winners, send a self-addressed stamped envelope by April 7th, 2010 to: AmericInn Opt-in Promotion – Winners’ List, 250 Lake Drive East, Chanhassen, Minnesota 55317. All requests must be received by April 7th, 2010.
